We assist our clients on an exclusivity basis throughout a structured and confidential selling process:

  • Phase 1: Documentation, strategic due diligence, financial and strategic analysis, business evaluation, preparation and delivery of an information memorandum (IM)
  • Phase 2: Research, identification and selection of potential buyers / investors in France and abroad, with the possibility to work with our partners in the M&A Worldwide network; organization of meetings and on-site visits, negotiation and collection of letters of intent (LOI)
  • Phase 3: Conducting the process to the successful closing; set up and management of the data room, monitoring and coordination of due diligences; finalization of negotiations, supervision of legal documentation (managing the relevant legal documentation alongside company legal and tax advisors)

A sell-side advisory mission is usually paid by:

  • Limited fixed fees
  • Success fees proportional to the amount of the transaction
